Terms of Service

1. The Service

Adkick is an AI product photography platform. You upload product photos and we generate styled product shots, on-model lifestyle imagery, and ready-to-post social campaign assets using third-party AI models. Outputs are produced on demand and metered through an internal credit system.

2. Eligibility & accounts

• You must be at least 18 years old to use Adkick.
• You're responsible for the activity on your account and for keeping your login credentials secure. Notify us promptly of any unauthorized use.
• One person or legal entity per account, unless we've agreed otherwise in writing.

3. Plans, credits & billing

The Service is offered on a free trial and on paid subscription tiers. Current plans:

• Trial— 10 credits granted once on signup. No card required. Trial credits don't expire on their own.
• Plus — $49/month or $490/year. 250 credits per month on monthly billing; 3,000 credits granted up front on annual billing.
• Pro — $199/month or $1,990/year. 1,000 credits per month on monthly billing; 12,000 credits granted up front on annual billing.
• Enterprise — custom pricing and credit volume, provisioned manually.
• Top-ups — $19 one-time for 100 additional credits, available on any paid plan.

Annual billing is priced at 10× the monthly rate (roughly two months free). Plans, prices, and credit allotments may change; we'll give notice before changes take effect for active subscribers.

How credits work.Most user-facing actions consume credits — for example, image generation/edit costs 1 credit per output. Automatic product cleanup, background removal, and prompt composition don't bill separately. Credits are deducted when each underlying API call completes successfully — if a generation fails partway, you only pay for the work that finished.

Subscription credits reset each billing cycle. For monthly subscribers, credits refresh every month at renewal. For annual subscribers, the full year's allowance is granted up front and refreshes once a year. Either way, unused subscription credits expire at the end of the billing cycle and do not roll over. Top-up credits persist and carry across cycles. When you spend, subscription credits are consumed before top-up credits.

Upgrades take effect immediately and you receive a prorated credit grant for the rest of the current cycle. Downgrades take effect at the end of the current billing period; you keep your current plan and credits until then.

Past-due accounts. If a payment fails, we may pause new generations until your billing is brought current. We rely on Stripe Smart Retries for dunning; if all retries fail, the subscription is canceled.

Cancellation.You can cancel anytime through the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period. We don't pro-rate refunds for partial months.

Refunds. Charges are non-refundable except where required by law. We may, at our discretion, issue refunds or credit adjustments for billing errors or service issues. Refunds of top-up purchases reduce your top-up balance proportionally.

Taxes. Prices exclude applicable taxes. You are responsible for any taxes, duties, or levies tied to your use of the Service.

4. Your content

"Your Content" means anything you upload, prompt, or generate using the Service — product photos, prompts, generated images, clips, and finished ads. You retain ownership of Your Content.

You grant Adkick a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, and display Your Content solely as needed to operate, secure, support, and improve the Service for you. We don't use your uploaded photos or outputs to train foundation models.

You represent and warrant that you own or have the necessary rights, licenses, and consents (including for any people, brands, logos, or third-party material depicted) to upload Your Content and to use the resulting outputs for your intended purposes, including advertising.

Generated outputs. Subject to your compliance with these Terms and payment of applicable fees, you may use the outputs you generate for any lawful purpose, including commercial advertising. Because outputs are produced by probabilistic models, similar or identical outputs may be generated for other users — we make no claim of exclusivity in any output.

5. Acceptable use

You agree not to use the Service to:

• Violate any law, regulation, or third-party right (including intellectual property, privacy, and publicity rights).
• Generate content that is sexual involving minors, that impersonates a real person without authorization, that depicts non-consensual intimate imagery, or that promotes violence, self-harm, or unlawful discrimination.
• Generate misleading content presented as real (deepfakes of real people or events) without clear disclosure and lawful basis.
• Use the Service to build a competing AI ad-creation product, or scrape, reverse-engineer, or extract our prompts, model routing, or weights.
• Resell, sublicense, or provide the Service to third parties except as a feature of your own brand's creative work.
• Probe, attack, or interfere with the Service's infrastructure, security, or rate limits, or attempt to circumvent credit metering.

We may suspend or terminate accounts that violate these rules, with or without notice depending on severity.

6. Third-party AI providers

Adkick routes generation requests through third-party providers including OpenRouter (LLMs and image models) and fal.ai (video, voice, and image processing). Your use of the Service is also subject to their applicable acceptable-use and content policies. We may swap, add, or remove providers and models without notice; quality, behavior, and costs may vary as the underlying models change.

7. Service availability

We aim for high availability but don't guarantee uninterrupted service. The Service may be unavailable for maintenance, third-party provider outages, or events outside our control. Credits already spent on failed generations are not automatically refunded, but please contact support if a failure looks systemic.

8. Privacy

Our handling of personal data is described in our Privacy Policy. By using the Service you consent to that processing.

9. Intellectual property

The Service, including its software, design, prompts, and branding, is owned by Adkick and its licensors and is protected by intellectual property laws. These Terms grant you no rights to our trademarks or to any underlying model weights.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of outputs. AI-generated content may be inaccurate, biased, or contain artifacts; you are responsible for reviewing outputs before publishing them as advertising.

11. Limitation of liability

To the maximum extent permitted by law, Adkick and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill arising out of or related to your use of the Service. Our total aggregate liability for any claim arising out of or related to the Service will not exceed the greater of (a) the amount you paid Adkick in the twelve months preceding the event giving rise to the claim, or (b) USD $100.

12. Indemnity

You agree to defend, indemnify, and hold harmless Adkick from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from (i) Your Content, (ii) your use of the Service, (iii) your use or distribution of generated outputs, or (iv) your violation of these Terms or any applicable law.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if continued operation poses a security or operational risk. On termination, your right to use the Service ends; any unused subscription credits are forfeited and any unused top-up credits are forfeited unless we agree otherwise. Sections that by their nature should survive termination (e.g., ownership, disclaimers, liability limits, indemnity, dispute resolution) will survive.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll notify you (e.g., by email or in-product notice) before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Disputes arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Delaware, and you and Adkick consent to the exclusive jurisdiction of those courts. Nothing in this section limits either party's right to seek injunctive relief in any competent court.
